Terms of Service

1. Acceptance of Terms
By accessing or using the Vocable platform, website, APIs, widgets, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect.
2. Description of Service
Vocable is a voice-powered form builder platform that enables users to create conversational forms, collect voice responses, transcribe and extract structured data from conversations, and deliver that data to external systems. The Service includes:
- A web-based dashboard for creating and managing voice forms
- Embeddable voice widgets for websites and applications
- AI-powered speech recognition and natural language processing
- Data storage, analytics, and reporting tools
- APIs and webhook integrations for connecting to external systems
- Team collaboration and workspace management features
3. User Accounts
To use the Service, you must create an account. You are responsible for:
- Providing accurate and complete registration information
- Maintaining the security of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
You must be at least 18 years old to create an account. We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period, with prior notice.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Collect personal information without proper consent or legal basis
- Record voice conversations without informing respondents that they are being recorded
- Transmit malware, viruses, or other harmful code
- Attempt to gain unauthorized access to the Service or its infrastructure
- Interfere with or disrupt the Service or servers connected to the Service
- Use the Service for spam, phishing, or deceptive practices
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell or redistribute the Service without written authorization
- Use the Service to collect information from minors without verifiable parental consent
As a form creator, you are responsible for ensuring that your use of voice forms complies with all applicable privacy laws and regulations, including obtaining appropriate consent from respondents.
5. Data Ownership and Licensing
Your Data: You retain all rights to the content you create and the data you collect through the Service. This includes form configurations, voice recordings, transcriptions, and extracted submission data. We do not claim ownership of your data.
License to Us: You grant Vocable a limited, non-exclusive license to process, store, and transmit your data solely for the purpose of providing the Service. This license terminates when you delete your data or close your account.
Aggregated Data: We may use anonymized, aggregated data derived from your use of the Service to improve our AI models, analyze trends, and enhance the platform. This data cannot be used to identify you or your respondents.
6. Intellectual Property
The Service, including its design, code, AI models, documentation, and branding, is owned by Vocable and protected by intellectual property laws. These Terms do not grant you any right to use Vocable's trademarks, logos, or brand assets without written permission.
You may use the Vocable name and logo solely to identify your use of the Service (for example, "Powered by Vocable") in accordance with any brand guidelines we provide.
7. Payment and Billing
Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in our refund policy. We reserve the right to change pricing with 30 days' notice.
If payment fails, we will attempt to charge your payment method again. After repeated failures, your account may be downgraded to the free tier. We will provide notice before any downgrade takes effect.
Usage-based charges (such as overage fees for exceeding plan limits) are billed at the end of each billing cycle based on actual usage.
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may temporarily suspend the Service for maintenance, updates, or security reasons. We will provide advance notice of planned maintenance when possible.
For customers on paid plans, our Service Level Agreement (SLA) defines uptime commitments and remedies for downtime. The SLA is incorporated into these Terms by reference.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOCABLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO VOCABLE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if Vocable has been advised of the possibility of such damages.
10. Indemnification
You agree to indemnify and hold harmless Vocable, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) the content you collect or distribute through the Service.
11. Termination
You may terminate your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately.
We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if required by law. We will provide notice and an opportunity to export your data before termination, except in cases of severe violations or legal requirements.
Upon termination, we will retain your data for 30 days to allow for export. After this period, your data will be permanently deleted from our systems, except where retention is required by law.
12. Dispute Resolution
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.
Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in San Francisco, California, under the rules of the American Arbitration Association. Either party may seek injunctive relief in court for intellectual property violations or unauthorized access.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email to the address associated with your account at least 30 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and close your account.
